In the end, not only to inherit money or property, but a company does mean to own an object which is none at all. You don’t own a company, you are connected with it.

The company’s succession describes the transfer of companies fortunes concerning management and capital (as a whole or partially) by one or more outgoing to the receiving future entrepreneur/s.
Arrangements and transfer of management and those of the capital shares can be separated in time. The product or service is to be continued, and the company’s focus remains on the same market. The enterprise value is independent of the transferor. In general no restrictions in sense of a certain form may consist; f. e. in terms of succession time.
Every year in Germany more than 70,000 companies are affected from regulations of succession. As every transfer situation is different the following points must be regulated:

  • the time succession 
  • the wage of the successor 
  • payment terms 
  • the legal form of the company  
  • and in some cases alternatives to interfamiliar succession

It is useful to create a transition plan. For the transferor of a company the implementation of a proactive vendor due diligence is recommended in preparation of the transaction. If a company is not sold but continued in the same or only slightly modified ownership structure, the contractor-diagnostic gains special significance.
This refers to the interdisciplinary survey - using psychological methods - of the potential successors. These methods are designed to ensure that the succession will be sustainably designed and placed in the right hands.
